FSC Approves E.SUN Financial Holding Co., Ltd.'s Acquisition of a 100% Equity Stake in Mercuries Life Insurance Co., Ltd. by Share Exchange

     The Financial Supervisory Commission (hereinafter referred to as “FSC”) has granted approval for the application by E.SUN Financial Holding Co., Ltd. (hereinafter referred to as “E.SUN Financial Holding”) to acquire a 100% equity stake in Mercuries Life Insurance Co., Ltd. (hereinafter referred to as “Mercuries Life”) through a share exchange transaction.
    The share exchange proposal was approved respectively at the extraordinary board meetings and extraordinary shareholders' meetings of E.SUN Financial Holding and Mercuries Life held on November 5, 2025, and January 23, 2026. Upon completion of the transaction, Mercuries Life will become a 100% owned subsidiary of E.SUN Financial Holding. On May 8, 2026, E.SUN Financial Holding submitted its application to the FSC in accordance with Article 26 of the "Financial Holding Company Act", Article 139-1 of the "Insurance Act", and the relevant regulations of the "Regulations Governing A Same Person or Same Concerned Party Holding the Issued Shares with Voting Rights over a Particular Ratio of an Insurance Enterprise". The FSC has completed its review of such application.
    The FSC stated that, upon review, the proposed acquisition complies with the applicable provisions of the "Financial Holding Company Act" and the "Insurance Act". The FSC also found that E.SUN Financial Holding has demonstrated compliance in various aspects, including safeguarding the rights and interests of Mercuries Life's policyholders and employees, the legitimacy of its source of funding, financial soundness, professional capability to operate an insurance business, long-term commitment to the insurance business, and financial capacity to meet Mercuries Life's future capital injection needs. Additionally, E.SUN Financial Holding has submitted a written undertaking committing that the rights and interests of Mercuries Life's policyholders will not be affected by the transaction and that policyholder services will continue without interruption.
